About the Role: Senior Director (m/f/d) - Carve-Out and Merger Integration - Germany As a Senior Director within A&M's Private Equity Performance Improvement Services (PEPI) practice, you will spearhead operational M&A initiatives for leading private equity funds and their portfolio companies. Your responsibilities will include:
  • Providing leadership throughout the transaction lifecycle, including pre-deal due diligence, deal structuring, and negotiation support. Assess carve-out complexities, develop transition service agreements (TSAs), and facilitate legal, tax and financial due diligence processes.
  • Managing project timelines, resources, and deliverables to ensure successful execution of carve-out and integration initiatives. Collaborate with cross-functional teams to address challenges and drive results
  • Developing strategic plans that maximize value in carve-out and integration scenarios. Collaborate with client teams to define clear objectives, prioritize initiatives, and align strategic goals with financial targets.
  • Driving in-depth diagnostic analyses to uncover opportunities for value creation during carve-out and post-merger integration initiatives. Utilize analytical frameworks and qualitative insights to identify areas of operational improvement and cost optimization
  • Building and maintaining strong relationships with clients, serving as a trusted advisor and strategic partner throughout the engagement lifecycle. Provide ongoing support and guidance to address client needs and concerns.
Qualifications: To excel in this role, you should possess:
  • A Master's degree from an accredited university.
  • Extensive experience in delivering carve-out and post-merger integration services within private equity-backed environments.
  • Proven track record of successfully leading complex transformational projects, from pre-deal due diligence to post-acquisition integration.
  • Deep understanding of the carve-out and post-merger integration lifecycle, including relevant networks and best practices.
  • Proficiency in operational KPIs, Balanced Scorecards, and performance measurement frameworks specific to carve-outs and integrations.
  • Leadership skills in guiding cross-functional teams and managing stakeholder relationships throughout the process.
  • Expertise in project management methodologies and tools tailored for carve-outs and integration projects.
  • Strong problem-solving abilities, with a focus on driving tangible results and value creation.
  • Fluent communication skills in both written and verbal English/German.
